As you know, we lost four of our Board members this year due to health and term-limit issues, which created a crisis in terms of assembling a complete Board under our existing bylaws. Among other things, our current bylaws require a minimum of five Board members in addition to the four elected officers, each serving a two-year term, and finding enough members willing to make that kind of commitment proved impossible. Worse, our existing bylaws did not provide for continuation of the current Board until a new Board could be empaneled. The attached proposed temporary Amendment to our Bylaws reduces the number of required Board members to four (although it can expand if feasible and desirable), and reduces each Board member’s term to one year. We were able to assemble a qualified team of committed Board members with these conditions. At the June 3, 2017 general meeting a vote to approve the attached amendments by a majority of the members present will allow the CWC-SFV to continue operation for the Fiscal Year 2017 - 2018. A complete revision of the Bylaws will be written in accordance with current California Corporation Code for nonprofit public benefit corporations and presented to the board for vote next fall. Your vote is an important indication of your support for the club. We cannot accept a proxy vote. I wish you all a healthy year and I hope to see you at the Saturday, June 3 meeting.
